End User License Agreement

BeaconWP by Hidden Point Studio

1. License Grant

Hidden Point Studio grants you a limited, non-exclusive, non-transferable, revocable license to use BeaconWP on WordPress websites you own or manage, subject to your active license tier and this Agreement.

2. Restrictions

• No resale, redistribution, sublicensing, or sharing of BeaconWP except where an explicit white-label license permits limited branded client deployment.
• No reverse engineering, decompiling, removal of legal notices, or bypassing of licensing controls.
• No use of BeaconWP to create or operate a competing standalone software platform derived from BeaconWP.

3. White-Label Rights

White-label rights apply only to expressly designated license tiers. Those rights permit branding customization and client deployment as part of your service offering. They do not transfer ownership of the underlying software, intellectual property, or source code. Unless stated in writing, white-label rights do not include permission to resell BeaconWP as a standalone product or to sublicense it onward.

4. Cloud, Activation, and License Enforcement

BeaconWP may communicate with HPS Unified Cloud for license validation, activation tracking, entitlement checks, and enforcement. Hidden Point Studio reserves the right to suspend, restrict, or disable access to premium features, modules, updates, or cloud-connected functionality when a license is invalid, expired, revoked, abused, or used beyond its permitted limits.

5. Chargebacks and Payment Disputes

If you initiate a chargeback, payment dispute, or reversal through Stripe or another payment processor, your BeaconWP license may be immediately suspended or revoked without prior notice. Hidden Point Studio may contest the dispute with activation, entitlement, and usage evidence and may blacklist associated licenses or deny future purchases.

6. Refund Workflow

You agree to contact Hidden Point Studio support before opening a Stripe dispute or other payment reversal. Filing a chargeback without first seeking resolution through support may be treated as refund abuse.

7. Binding Arbitration and Class Action Waiver

Any dispute arising from BeaconWP or this Agreement shall be resolved by binding arbitration in Florida, United States, on an individual basis. You waive the right to participate in class actions, collective actions, or representative proceedings, to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify and hold harmless Hidden Point Studio, its affiliates, and operators against claims, damages, losses, and legal expenses arising from your misuse of BeaconWP, your violation of this Agreement, or your website’s content, operations, or legal compliance.

9. Limitation of Claims

Any claim related to BeaconWP must be filed within one (1) year from the date the claim arose or it is permanently barred.

10. Disclaimer and Limitation of Liability

BeaconWP is provided “as is” without warranties. Hidden Point Studio is not liable for data loss, site downtime, business interruption, third-party conflicts, or consequential damages to the fullest extent allowed by law.

11. Entire Agreement and Severability

This Agreement is the entire agreement regarding BeaconWP and supersedes prior understandings. If any provision is unenforceable, the remaining provisions remain in effect.
